Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by NecroadGU Media ("Company", "we", "us", or "our"), you ("Client", "you", or "your") accept and agree to be bound by the terms and provision of this agreement.

2. Services

NecroadGU Media provides professional copywriting services including but not limited to:

• Website copy and content creation
• Email marketing campaigns
• Social media content
• Brand strategy and messaging
• Sales copy and marketing materials
• Content marketing strategies

3. Project Terms

3.1 Project Scope

All projects will be clearly defined in a separate project agreement or statement of work that outlines:

• Project deliverables
• Timeline and milestones
• Payment terms
• Revision policy

3.2 Client Responsibilities

The Client agrees to:

• Provide necessary information and materials for project completion
• Respond to requests for feedback within agreed timeframes
• Make timely payments as outlined in the project agreement
• Respect intellectual property rights

4. Payment Terms

4.1 Fees

All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Payment terms will be outlined in individual project agreements.

4.2 Payment Schedule

Payment schedules vary by project but typically include:

• 50% deposit upon project commencement
• 50% balance upon project completion
• Net 30 payment terms for ongoing services

4.3 Late Payments

Late payments may be subject to interest charges of 1.5% per month on the outstanding balance.

5. Intellectual Property

5.1 Ownership

Upon full payment, Client will own the final approved copywriting deliverables. However, NecroadGU Media retains the right to:

• Use work samples for portfolio and marketing purposes
• Retain underlying methodologies and processes
• Reference the project in case studies (with Client approval)

5.2 Third-Party Materials

Client is responsible for obtaining necessary permissions for any third-party materials used in the project.

6. Revisions and Approvals

Each project includes a specified number of revision rounds. Additional revisions beyond the agreed scope may incur additional charges. Client approval is required before proceeding to the next project phase.

7. Confidentiality

We maintain strict confidentiality regarding all client information and project details. Both parties agree not to disclose confidential information to third parties without written consent.

8. Limitation of Liability

NecroadGU Media's liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages arising from the use of our services.

9. Termination

Either party may terminate a project with written notice. In case of termination:

• Client pays for work completed to date
• All materials and work product are returned
• Confidentiality obligations continue

10. Force Majeure

Neither party will be liable for delays or failures due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or other unforeseeable events.

11. Governing Law

These terms are governed by the laws of Ontario, Canada. Any disputes will be resolved through arbitration in Toronto, Ontario.

12. Modifications

We reserve the right to modify these terms at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of the modified terms.
